This is the structure our compliance analysis requires, written out so the gaps are visible. The binding text is a legal deliverable: it must be written by counsel and translated professionally, not by us.
The service
We provide access to a sales-intelligence platform. Credits are consumed when you reveal a contact's details. Credits included in a subscription expire at the end of the billing period; credits you purchase separately do not.
You warrant that you have a lawful basis
You warrant that you have a lawful basis under applicable data protection law for contacting each person whose details you reveal through the service, and that your outreach complies with applicable law.
This clause is unusual and it is deliberate. The market's standard terms take an indemnity from the customer and never make them warrant this, and an indemnity is worth a great deal less without it.
Acceptable use of contact details
Before calling any number obtained through the service, you must screen it against the applicable national do-not-call registers, including Bloctel (France), Bel-me-niet-meer (Netherlands), the Robinson list (Spain) and TPS/CTPS (United Kingdom).
You must honour any opt-out request you receive directly, and you must not send unsolicited bulk messages.
We do not represent that a revealed number is safe to call. Whether it is, is a question about the register, and the register is yours to check.
Indemnity
You indemnify us against claims arising from your use of contact details obtained through the service, including claims brought by the individuals concerned.
Suspension and termination
A failed payment puts the account past due; full access continues while payment is retried. After the final retry, access is suspended except for the billing page. A suspended account keeps its data, its revealed contacts and its purchased credits, and is deleted after 90 days.
